These Terms of Service ("Terms") govern your access to and use of the website at finedgestrategies.com (the "Site") and any products, services, or platform offerings provided by Silverback Cloud LLC DBA FinEdge Strategies ("FinEdge," "we," "us," or "our"). By accessing the Site or purchasing or using our services, you agree to these Terms. If you do not agree, do not use the Site or our services.

1. Services

FinEdge provides technology governance education, advisory services, and related content for community banks, credit unions, and financial institution leadership (collectively, "Services"). Specific scope, deliverables, pricing, and terms for any purchased Services will be set forth in a separate order form, proposal, or agreement between FinEdge and the purchasing institution or individual ("Order").

2. Eligibility and Accounts

You must be at least 18 years old and authorized to enter into binding contracts on behalf of yourself or your institution to use our Services. If you are accessing or purchasing Services on behalf of a business or institution, you represent that you have authority to bind that entity to these Terms.

You are responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. Notify us immediately at info@finedgestrategies.com if you suspect unauthorized access.

3. Payment and Billing

Fees for Services are as stated in the applicable Order or on the Site at the time of purchase. Unless otherwise specified:

• Upfront payments are due at the time of Order.
• Monthly or recurring payments are due on the same day each billing cycle.
• All fees are in U.S. dollars and are non-refundable except as expressly stated in the Order or required by applicable law.
• We reserve the right to suspend access to Services for past-due accounts after reasonable notice.

Prices are subject to change with advance notice. Founding Member pricing is locked as described in the applicable Order.

4. Acceptable Use

You agree not to:

• Use the Site or Services for any unlawful purpose or in violation of any applicable regulation;
• Reproduce, redistribute, resell, or sublicense any course content, materials, or platform features without our prior written consent;
• Attempt to gain unauthorized access to any part of the Site, platform, or related systems;
• Upload or transmit viruses, malware, or any harmful code;
• Use automated tools to scrape, crawl, or extract data from the Site without permission.

5. Intellectual Property

All content on the Site and within the FinEdge platform — including course materials, articles, videos, frameworks, assessments, and branding — is owned by or licensed to Silverback Cloud LLC DBA FinEdge Strategies and is protected by copyright, trademark, and other intellectual property laws.

Your purchase of Services grants you a limited, non-exclusive, non-transferable license to access and use the content for your institution's internal educational purposes only. No ownership interest is transferred. You may not copy, distribute, publicly display, or create derivative works from our content without express written permission.

6. Third-Party Services

The Site and platform may integrate with or link to third-party services (such as scheduling tools, payment processors, or CRM platforms). We are not responsible for the content, privacy practices, or reliability of third-party services. Your use of those services is governed by their own terms and policies.

7. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SILVERBACK CLOUD LLC DBA FINEDGE STRATEGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Silverback Cloud LLC DBA FinEdge Strategies and its affiliates, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Site or Services, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may suspend or terminate your access to the Site or Services at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your license to use platform content ceases. Provisions of these Terms that by their nature should survive termination will survive, including Sections 5, 7, 8, 9, and 11.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Sangamon County, Illinois, and you consent to personal jurisdiction in those courts.

12. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page with an updated effective date. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.
